Milk Supply

1. Saputo Dairy Australia (SDA) will only enter into a Milk Supply Agreement (MSA) where:

   • your farm(s) are located in one of the designated regions listed in our MSAs in Victoria, New South Wales, South Australia or Tasmania;
   • you meet SDA’s assessment and verification requirements;
   • SDA has not already secured sufficient milk supply to meet its demand; and
   • SDA reasonably determines (acting in good faith) that you can meet the MSA requirements, including compliance with:
     • the Saputo Animal Welfare Policy, Saputo Supplier Code of Conduct and Saputo Sustainable Agriculture Policy; and
     • SDA’s Milk Quality Standard and Milk Collection and On Farm Requirements,

             each as set out in the Supplier Handbook, attached as Schedule 1 to each MSA.
   
   

2. In making this determination, SDA may take into account:

   • your past compliance history, where you have previously supplied SDA;
   • any regulatory investigation or enforcement action that has resulted in an adverse finding, conviction or material non compliance against you; and/or
   • whether any demonstrated non compliance by you with the law or accepted industry standards would be reasonably expected to impact SDA’s reputation.

Unless exceptional circumstances apply, SDA does not intend to negotiate individual changes to its standard MSA templates.
